Vendor Program Agreement as of 12/8/2003
1. Purpose. The purpose of the vendor program, owned and managed by Telecom Association, Inc., a California corporation doing business as Telecom Agent Association, hereinafter called "TAA", at 31500 Grape Street #3-307 Lake Elsinore, California 92532 is to distribute information about a vendor program participant, hereinafter called "vendor" to TAA's 3,100 members. Any or all of the vendor services associated with the TAA vendor program may be changed or cancelled by TAA at any time without notice.
2. Fees & Term. All vendor program fees shall be prepaid in the amounts specified on the TAA vendor invoice. A one-time vendor program setup fee applies to all new vendors and previous vendors that go unpaid longer than 30 days. The normal term is month-to-month. The term commences the when the setup fee and the first pro-rated monthly fee is paid, renews automatically each month on the 30th, and terminates at the end of the last prepaid calendar month.
3. Services. The following services are provided to vendor program subscribers. For an overview of the best way to use the services, consult TAA's Quick Start Plan for new vendors.
Email Alerts. Vendor can have TAA send email alerts to the 3,100+ TAA members that have requested email alerts from vendors. Vendor should submit email alert content as a vendor hosted HTML file where vendor simply provides TAA with the URL where the HTML file is hosted. If vendor is unable to host email alert content, TAA will provide reasonable assistance to create a HTML template and host email alert files. TAA assistance above and beyond initial email alert consulting, template creation and simple formatting of raw text input to template is available for an extra fee starting at $50 per hour which must be prepaid. Seven days after the vendor's email alert is sent, TAA will provide statistics including number of emails sent, percentage of emails opened and number of clicks for each embedded link within the email. TAA currently does not restrict the number of email blasts a vendor may send from 5pm Pacific time to 8am Eastern time. All email alerts are scheduled through Kathleen Brown, TAA Administrator who can be contacted at 619-988-6267 or kb at telecomagent dot org. TAA limits email alerts during "prime time" to 5 a per weekday sent hourly starting at 9am Pacific. Vendors are entitled to one prime time email alert per week. More prime time slots may be allowed to a vendor on a space available basis.
Vendor Directory Listing. TAA will publish the vendor's contact, program and service information as submitted by the vendor to TAA via the TAA Vendor Questionnaire form.
TAA Review & Telecom Talk Radio Recording. TAA will create and publish a TAA review of the vendor's agent program and/or create and publish a Telecom Talk Radio recording after TAA gathers appropriate information about the vendor using the TAA Vendor Interview form.

TAA Member List. TAA vendors may request a copy of the optional information (minus fax numbers and email addresses) input into the TAA membership database by TAA members in Microsoft Excel (.XLS) format. Data provided is for the named vendor's exclusive use only and is not to be transferred, distributed or sold to any other parties. Paid Web & Direct Mail Advertising. Vendors get one free ad per year and can purchase additional ads to enhance their exposure to TAA members. Contact Dan Baldwin at 206-203-6115 x2 for additional information.
4. Other Membership Conditions.
Hold TAA Harmless. TAA attempts to provide vendors with the best value possible. Vendor acknowledges that TAA's primary service to vendor is "information and access". Vendor agrees to hold TAA harmless of any losses it may incur due to the use of any TAA information or TAA omission or misprint of information about vendor. Vendor additionally agrees to hold TAA harmless in any actions or losses resulting from vendor's access to TAA vendor benefits.
No Endorsement By TAA. Vendor acknowledges that while TAA may positively review vendor's program, TAA vendor subscription does not constitute an endorsement by TAA of the vendor's products and services.
No Returns. TAA accepts no returns for any of its vendor services. TAA will not refund any money or provide any credit for any "unused" vendor service.
Fair Dealings, Open Communications & Vendor Suspension. Vendor agrees to deal fairly and communicate openly with TAA members. If a TAA members files a formal written statement of complaint with TAA regarding vendor and TAA forwards the statement to vendor for official comments, vendor will communicate with TAA and/or TAA member regarding the statement. Failure to do so may be grounds for TAA to suspend vendor's access to TAA vendor program services after 30 days written notice and failure by vendor to properly address complaints.
Understanding and Acceptance of Agreement. By paying its fees, vendor acknowledges understanding and acceptance of TAA's current vendor program agreement.
